Silicon Valley: Powered by Love

The Silicon Valley: Powered by Love campaign, is sponsored by Rally.org, which is incorporated as Piryx, Inc., located at 144 2nd St, First Floor, San Francisco, CA 94105 ("Rally.org"). Participation in the Competition constitutes your full and unconditional agreement to and acceptance of these Official Rules and the decisions of Rally.org, which are final and binding. Winning a prize (“Prize”) is contingent upon being compliant with these Official Rules and fulfilling all other applicable requirements.

You may enter the Competition between 12:00:00 pm Pacific Time ("PT") on December 11th, 2012 and 11:59:59 PM PT on February 14, 2013.

As further described below, there are two components to the Competition: (i) the fundraising contest, in which Entrants (as defined below) can run a Rally.org Fan Fundraising page solicit donations on behalf of the Glide Foundation via its cause page (the “Contest”), and (ii) a sweepstakes, where five eligible winners will be selected at the end of the competition to receive a special prize from Rally.org (the “Sweepstakes”). An “Entrant” is an individual who is eligible under these Official Rules to participate in the Competition and who enters either the Contest or the Sweepstakes.

Contest:

The person uploading the Submission to the Contest will be deemed the Entrant for purposes of the Contest. The Entrant for purposes of the Contest is the one (1) person who owns the email address associated with the Rally.org “Fan Fundraising” page used to solicit donations on behalf of the Glide Foundation cause page (the “Entrant Page”). If any group elects to collaborate on a Submission, they are required to designate one (1) person as the agent of the group to enter the Contest, agree to these rules and accept the Prize on behalf of the group.

Each individual Entrant is allowed a total of one (1) Submission. A person may only submit or collaborate on a total of one (1) Submission.

Each Submission must comply with Rally.org’s Terms of Service, as well as with these Official Rules. In the event of any inconsistency between these Official Rules and Rally.org’s Terms of Service, the terms in these Official Rules shall prevail. In addition, please see Rally.org’s Privacy Policy for details of our policy regarding our use of personal information collected in connection with the Competition.

Each Submission must be the original work of the Entrant produced for this Competition; it must not infringe any party's intellectual property or other rights; it must be suitable for display and publication on a national level (e.g. may not be obscene or indecent, including but not limited to nudity or profanity); it must not contain obscene or pornographic material, it must not contain defamatory statements (including but not limited to words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group), it must not include threats to any person, place, business, group or world peace, it must not invade privacy or other rights of any person, firm or entity, and it must not in any other way violate applicable laws and regulations or network standards.

Each Submission must not contain any copyrighted works (other than as owned by the Entrant or Collaborating Team Member). Use of any unauthorized music, images or other copyrighted materials may result in disqualification of your Submission, in Rally.org’s sole discretion.

Sweepstakes:

To enter the Sweepstakes, you may either (i) make a donation via an Entrant Page or directly to the Glide Foundation cause page, during the Competition Period (with each donation counting as one entry), or (ii) send an entry to Rally.org during the Competition Period by printing your name, address and daytime phone number on a 3” x 5” card and mailing it to Rally.org at 144 2nd St, First Floor, San Francisco, CA 94105, Attn: Glide Sweepstakes (each, an “Eligible Entry”). There is a limit of one Eligible Entry per Entrant per day (defined as 12:00 a.m. to 11:59 p.m. Pacific Time). Any late, lost, misdirected, incorrect or incomplete entries will be disqualified and Company (and its agents) will not be responsible for such entries. Entries must be actually received by Company no later than the end of the Competition Period in order to qualify as Eligible Entries. Each Entrant is eligible to win only one (1) Sweepstakes Prize during the Competition Period.

General Rules:

The Competition is open only to those who are 18 years of age or older at time of entry. The following individuals are not eligible for the competition: employees of Rally.org, employees of Sparkart and employees of each of their respective parents, subsidiaries and affiliated companies, distributors, Web design, advertising, fulfillment, insurance agencies, judging and Competition agencies involved in the administration, development, fulfillment and execution of this Competition (collectively, "Competition Parties"), and the immediate family members (spouse, parent, child, sibling and spouse or "step") of each and those living in the same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Competition) of each such employees. Neither Rally.org nor any of the Competition Parties (as defined below) are liable for any disputes between collaborators arising under or related to the Competition.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE THE CHANCE OF WINNING. VOID WHERE PROHIBITED. BY ENTERING, ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.

Submissions that do not comply in all material respects with Rally.org's Terms of Service or these Official Rules or that otherwise contain prohibited, or inappropriate content as determined by Rally.org, in its sole discretion, will be disqualified and will not be published or considered for Prizes. If disqualified, all funds donated and related to the submission or campaign will be kept by Glide Foundation.

All Entrants who are selected to receive a Prize ("Recipients") are subject to verification, including without limitation, verification of eligibility, compliance with these Official Rules and completion of release forms (described below). If attempted notification is returned as undeliverable, if a Recipient cannot be verified, or if a Recipient is otherwise unable to accept an Prize, the Prize will be forfeited and may be awarded to an alternate finalist provided sufficient time remains, in Rally.org’s discretion.

Entrants agree that Rally.org has the sole right to decide all matters and disputes arising from this Competition and that all decisions of Rally.org are final and binding.

If the actual, alleged or publicized conduct of any Entrant is illegal or, if any Entrant has been charged with or convicted of a crime, or in Rally.org's sole discretion is otherwise grossly offensive or violates generally accepted standards of behavior (including, but not limited to, illicit drug use or public intoxication) or otherwise leads Rally.org to believe or conclude that the public association with the Entrant subjects Rally.org, Glide Foundation, or any of the Competition Parties to ridicule, contempt, controversy, embarrassment or scandal, Rally.org, in its sole discretion, may disqualify Entrant and their Submission will no longer be eligible for this Competition.

Prize Details:

Prizes for the Contest will be given to the top fan fundraisers as listed on Rally.org LeaderBoard (based on total funds raised by donors making donations through each Entrant Page) at the end of the competition (February 14, 2013). Prizes will be awarded by Rally.org and all decisions are final.

Grand Prize Winner

Grand Prize, the individual who raises the most funds for the Glide Foundation through the Rally.org platform, may pick an investor to share an experience, which may include but is not limited to, lunch with, dinner with, and or drinks with one of the following venture capitalists: Mike Maples, Kevin Rose, John Occhipinti, Tim Ferriss, Eric Ries,

The grand prize winner’s flight (if applicable) expenses will be reimbursed by Rally.org

The grand prize winner will receive a ticket to a San Francisco Giants baseball game in the SV Angel Box at Giant’s stadium. The presence of SV Angel partners likely, but not guaranteed.

2nd – 5th Place Winner

2nd -5th Place: The individuals who fundraise the 2nd to 5th most amount of funds for the Glide Foundation, will be randomly assigned an experience, which may include but its not limited to: lunch with, dinner with, and or drinks with one of the following venture capitalists: Reid Hoffman, Mike Maples, Kevin Rose, John Occhipinti, Tim Ferriss, Eric Reese, Michael Birch

Prizes for the Sweepstakes will be awarded periodically.

Five winners will be selected by 5pm pacific time Wednesday February 13, 2013 by selecting from the total number of Eligible Entries received during the period of December 12, 2012 to January 30th, 2013

The Prizes for the Sweepstakes are as follows:

A ticket to Rally.org’s Pitch Night. The event will be held sometime prior to June 30th, 2013 at the RallyPad located at 144 2nd Street, San Francisco California

Recipients will be notified by phone and/or email within two (2) weeks of the end of the Competition Period.

All travel expenses, meals, gratuities, and other expenses associated with the Prizes not specifically mentioned in these rules are the Recipient’s sole responsibility. A Recipient’s participation in any or all activities associated with any Prize are voluntary and are at Recipient’s sole risk. If Recipient elects not to participate in any or all designated activities associated with a Prize, that Recipient will be afforded no additional compensation or consideration in exchange therefor.

THE MAXIMUM TOTAL APPROXIMATE RETAIL VALUE OF ALL PRIZES IN THE COMPETITION IS: $2000 (note this does not include the intangible value of meeting with the aforementioned investor list).

Certain Submissions may be featured from time to time on Rally's website and or Glide Foundation’s various web properties, including but not limited to: Rally.org, Rallypad.org, http://www.glide.org/, during the Competition Period and/or in Rally's and social media pages and channels, in Rally's sole discretion; being selected as a featured Submission is unrelated to the judging criteria and does not guarantee selection as an Recipient. By submitting your Submission, you grant Rally.org and the Glide Foundation a non-exclusive, worldwide license to use, publicly perform, display, reproduce, transmit, sublicense, and distribute in all media formats that exist now or in the future your Submission in connection with (1) the Competition and the promotion of the Competition; (2) the promotion of Rally.org (collectively, the "License"). The License shall commence on the date you submit your Submission. You may revoke the License at any time by providing Rally with written notice to leaderboard@rally.org, provided, however, that if your Submission is selected as a finalist before you provide such notice, the license shall become non-revocable. Should you revoke your license, all funds raised will still be donated to the cause. The License is in addition to and shall not limit any license granted by you in Rally.org’s Terms of Service. All rights not expressly granted by you with respect to your Submission are reserved.

No liability or responsibility is assumed by Rally.org, Glide Foundation or Competition Parties resulting from any user's participation in or attempt to participate in the Competition or ability or inability to upload or download any information in connection with participating in the Competition. No responsibility or liability is assumed by Rally.org, Glide Foundation, for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Competition: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Competition, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Competition, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Competition. Rally.org, Glide Foundation, and Competition Parties are not responsible for any typographical errors in the announcement of Prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site. Use of Web Site is at user's own risk. Rally.org, Glide Foundation and Competition Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Competition, use of the Web Site or the download of any information from the Web Site. By participating in the Competition, the Entrant releases Rally.org, Glide Foundation, and Competition Parties from any and all claims, damages or liabilities arising from or relating to such Entrant's participation in the Competition. By accepting a Prize in the Competition, winners agree that Rally.org, Glide Foundation, and Competition Parties shall not be liable for any loss or injury resulting from participation in the Competition, acceptance or use of any Prize, or any travel related thereto. Rally.org shall not be liable under contract, tort, strict liability, negligence, or any other legal or equitable theory for any indirect, consequential, special, incidental, or punitive damages in connection with the Competition, even if Rally.org has been advised of the possibility of such damages.

All Entrants must have a valid e-mail address. Recipients are solely responsible for any taxes on their respective Prize, and will receive an IRS Form 1099 for the taxable value of their Prize. No substitution of Prizes is offered, except at the sole discretion of Rally. Prizes are non-transferable. Unclaimed Prizes will not be awarded. If a Prize, or any portion thereof, cannot be awarded for any reason, Rally reserves the right to substitute another Prize of equal or greater value. If for any reason the Competition is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Competition, Rally.org reserves the right, at its sole discretion to cancel, modify or terminate the Competition. Further, Rally.org reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of the Competition or any Rally.org or Competition-related Web Site; (b) violating the Official Rules; (c) violating the Rally.org Terms of Service, conditions of use and/or applicable general rules or guidelines; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. This Competition is offered only in the United States and is governed by the laws of the state of California (without regard to its conflict of laws principles). All claims relating in any manner to this Competition or to any Submission must be resolved in the federal or state courts located in San Francisco, California.

Rally.org, Glide Foundation and Competition Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Competition, use of the Web Site or the download of any information from the Web Site. By participating in the Competition, the Entrant releases Rally.org, Glide Foundation, and Competition Parties from any and all claims, damages or liabilities arising from or relating to such Entrant's participation in the Competition. By accepting a Prize in the Competition, winners agree that Rally.org, Glide Foundation, and Competition Parties shall not be liable for any loss or injury resulting from participation in the Competition, acceptance or use of any Prize, or any travel related thereto. Rally.org shall not be liable under contract, tort, strict liability, negligence, or any other legal or equitable theory for any indirect, consequential, special, incidental, or punitive damages in connection with the Competition, even if Rally.org has been advised of the possibility of such damages.

All Entrants must have a valid e-mail address. Recipients are solely responsible for any taxes on their respective Prize, and will receive an IRS Form 1099 for the taxable value of their Prize. No substitution of Prizes is offered, except at the sole discretion of Rally. Prizes are non-transferable. Unclaimed Prizes will not be awarded. If a Prize, or any portion thereof, cannot be awarded for any reason, Rally reserves the right to substitute another Prize of equal or greater value. If for any reason the Competition is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Competition, Rally.org reserves the right, at its sole discretion to cancel, modify or terminate the Competition. Further, Rally.org reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of the Competition or any Rally.org or Competition-related Web Site; (b) violating the Official Rules; (c) violating the Rally.org Terms of Service, conditions of use and/or applicable general rules or guidelines; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. This Competition is offered only in the United States and is governed by the laws of the state of California (without regard to its conflict of laws principles). All claims relating in any manner to this Competition or to any Submission must be resolved in the federal or state courts located in San Francisco, California.
